DIGITAL MARKETING SERVICES LICENSE AGREEMENT

This Digital Marketing Services License Agreement (“Agreement”) is entered into by and between Ushtarek.com (“Licensor”) and Client/Subscriber Name.
1. Grant of License
Licensor hereby grants Licensee a non-exclusive, non-transferable license to access and use the digital marketing services provided by ushtarek.com (the “Services”) in accordance with the terms and conditions of this Agreement.
2. Scope of Services
Licensor agrees to provide the following services to Licensee:
a. Digital Marketing Strategy: Crafting tailored digital plans for maximum online impact, integrating channels based on Licensee’s unique business goals.
b. Search Engine Optimization (SEO): Boosting Licensee’s online visibility with personalized SEO strategies, staying ahead of algorithm changes for optimal performance.
c. Content Creation & Marketing: Engaging Licensee’s audience with compelling content across platforms, strategically elevating brand awareness.
d. Web Design & Development: Creating visually appealing, responsive websites that prioritize user experience.
3. Permitted Use
Licensee may use the Services for the promotion of Licensee’s business, brand, or online presence. Licensee agrees not to use the Services for any illegal or unauthorized purpose.
4. Restrictions
Licensee shall not:
a. Copy, modify, or distribute the Services or any content provided by ushtarek.com without prior written consent from Licensor.
b. Use the Services in a manner that may damage, disable, overburden, or impair the functionality of the ushtarek.com website.
c. Violate any applicable laws, regulations, or third-party rights.
5. Intellectual Property Rights
Licensor retains all intellectual property rights in and to the Services, including but not limited to digital marketing strategies, SEO methodologies, content creation, and web design techniques. Licensee acknowledges that no title or ownership interest in the Services is transferred or assigned under this Agreement.
6. Termination
This Agreement is effective as of the Effective Date and shall remain in effect until terminated by either party. Licensor may terminate this Agreement at any time for breach of its terms. Upon termination, Licensee shall cease all use of the Services.
7. Confidentiality
Licensee agrees to keep confidential any proprietary information provided by Licensor in the course of receiving the Services.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within [Jurisdiction].
9. Miscellaneous
a. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, oral or written.
b. Any amendments to this Agreement must be in writing and signed by both parties.
By accessing and using the Services provided by ushtarek.com, Licensee agrees to be bound by the terms and conditions of this Digital Marketing Services License Agreement.
